Terms and Conditions
1. Definitions
1.1 "Kladworx" means Kladworx Ltd.
1.2 "Customer" means the purchaser of goods from Kladworx Ltd.
1.3 "Goods" means the items supplied under this agreement.
1.4 "Contract" refers to the agreement for the supply of goods incorporating these Terms of Trading.
1.5 "Order" means the customer’s request for goods, confirmed by Kladworx.
1.6 "Quotation" means the written price offer from Kladworx, valid for 30 days unless otherwise stated.
2. Basis of Sale
2.1 All quotations are subject to these Terms of Trading. Any differing terms provided by the customer are excluded.
2.2 Orders are only accepted upon written confirmation by Kladworx.
2.3 Orders for bespoke or made-to-order items are non-cancellable once production begins.
3. Price
3.1 Prices are exclusive of VAT unless otherwise stated.
3.2 Quotations are valid for 30 days.
3.3 Prices are subject to manufacturer fluctuations or changes in specification requested by the customer.
3.4 All prices are based on the quantities and sizes stated in the quotation.
4. Payment
4.1 Payment is due in full prior to production or dispatch (Pro Forma), unless otherwise agreed in writing.
4.2 Title to goods remains with Kladworx until payment is received in full.
4.3 Late payments may incur:
- Interest at 5% above Barclays Bank base rate
- Fixed compensation fees as per the Late Payment of Commercial Debts Act 1998
5. Delivery
5.1 Standard delivery is via groupage service (08:00–17:30, Mon–Fri).
5.2 Delivery dates are estimates and not guaranteed.
5.3 Failed or refused deliveries, and any required re-deliveries, will be charged in full.
5.4 Split or timed deliveries are subject to additional charges.
5.5 Unloading is the responsibility of the customer.
6. Risk & Title
6.1 Risk passes to the customer on delivery.
6.2 Title remains with Kladworx until full payment is received.
6.3 Until title transfers, goods must be stored separately, kept in good condition, and insured by the customer.
7. Storage of Goods
7.1 Powder-coated materials must be stored indoors or fully covered to avoid water ingress, condensation, and surface damage ("blanching").
7.2 Any failure to store goods correctly voids warranty.
8. Returns
8.1 Bespoke or made-to-order goods are non-returnable.
8.2 Standard goods may be returned by prior agreement only, subject to:
- Restocking fee (up to 20%)
- Condition inspection
- Return at customer’s risk and expense
9. Warranties
9.1 Goods are warranted to match their description and be free from material defects at delivery.
9.2 Kladworx is not liable for defects arising from:
- Fair wear and tear
- Misuse, neglect, abnormal working conditions
- Improper installation or maintenance
- Unauthorised repair or modification
- Goods not paid for in full
9.3 Defects must be reported within 7 days of delivery or discovery.
9.4 Kladworx may, at its discretion, replace defective goods or refund part of the price. No liability is accepted for indirect or consequential loss.
10. Design & Specifications
10.1 Customers are responsible for verifying all drawings, dimensions, and specifications.
10.2 Kladworx may make minor specification changes where required to meet safety or compliance standards.
10.3 Measurements taken on site are provided in good faith but must be confirmed by the customer.
11. Cancellation
11.1 Orders cannot be cancelled once confirmed without written agreement.
11.2 If cancelled, the customer shall reimburse Kladworx for all costs incurred to date.
12. Force Majeure
12.1 Kladworx shall not be liable for failure or delay in fulfilling obligations due to events beyond reasonable control, including (but not limited to): fire, flood, strikes, transport issues, or material shortages.
12.2 If such events exceed 90 days, either party may terminate the contract.
13. General
13.1 English law applies to all contracts.
13.2 If any clause is found invalid, the remainder shall remain enforceable.
13.3 Nothing in these terms affects statutory rights for consumers.
13.4 These terms replace all previous agreements unless explicitly varied in writing.
13.5 All communications must be in writing and addressed to the registered office.
